通用制裁合规示范条款（中英文版—适用国际供应商）
GENERAL SANCTIONS CLAUSE.
通用制裁条款。
Supplier represents, warrants, and agrees that:
供应商声明、保证并同意：
Supplier is not a “Sanctioned Person,” meaning any individual or entity: (1) named on a governmental denied party or restricted list, including but not limited to: the Office of Foreign Assets Control (“OFAC”) list of Specially Designated Nationals and Blocked Persons (“SDN List”), the OFAC Sectoral Sanctions Identifications List (“SSI List”), and the sanctions lists under any other Sanctions Laws; (2) organized under the laws of, ordinarily resident in, or physically located in a jurisdiction subject to comprehensive sanctions administered by OFAC (currently Cuba; Iran; North Korea; Syria; and the Crimea, People’s Republic of Donetsk, and People’s Republic of Luhansk regions of Ukraine/Russia) (“Sanctioned Jurisdictions”); and/or (3) owned or controlled, directly or indirectly, 50% or more in the aggregate by one or more of any of the foregoing.
供应商不是“受制裁人”，即任何个人或实体：(1) 被列入政府拒绝方或限制名单，包括但不限于：外国资产控制办公室（“OFAC”）特别指定国民和被封锁人员名单（“SDN名单”），OFAC部门制裁识别名单（“SSI名单”），以及任何其他制裁法律下的制裁名单；(2) 根据受OFAC全面制裁的司法管辖区的法律组织、通常居住或实际位于该司法管辖区（目前为古巴；伊朗；朝鲜；叙利亚；以及乌克兰/俄罗斯的克里米亚、顿涅茨克人民共和国和卢甘斯克人民共和国地区）（“受制裁司法管辖区”）；和/或(3) 由上述任何一项直接或间接拥有或控制50%或以上的实体。
Relating to this Agreement, Supplier is in compliance with and will continue to comply with all economic Sanctions Laws administered by OFAC, other U.S. regulatory agencies, the European Union and its Member States, the United Kingdom, and the United Nations (“Sanctions Laws”). Supplier will not involve any Sanctioned Persons in any capacity, directly or indirectly, in any part of this Agreement and performance under this Agreement. Supplier will not take any action that would cause Honeywell to be in violation of Sanctions Laws.
与本协议相关，供应商遵守并将继续遵守OFAC、其他美国监管机构、欧盟及其成员国、英国和联合国管理的所有经济制裁法律（“制裁法律”）。供应商不会以任何身份直接或间接涉及任何受制裁人参与本协议的任何部分和本协议的履行。供应商不会采取任何可能导致客户违反制裁法律的行动。
Supplier will not sell, export, re-export, divert, use, or otherwise transfer any XXX products, technology, software, or proprietary information: (i) to or for any Sanctioned Persons or to or involving Sanctioned Jurisdictions; or (ii) for purposes prohibited by any Sanctions Laws. Supplier will not source any components, technology, software, or data for utilization in XXX products or services: (i) from any Sanctioned Persons or Sanctioned Jurisdictions or (ii) in contravention of any Sanctions Laws.
供应商不会销售、出口、再出口、转移、使用或以其他方式转让任何客户产品、技术、软件或专有信息：(i) 给任何受制裁人或涉及受制裁司法管辖区；或(ii) 用于任何制裁法律禁止的目的。供应商不会从任何受制裁人或受制裁司法管辖区采购任何组件、技术、软件或数据用于客户产品或服务，或违反任何制裁法律。
Supplier’s failure to comply with this provision will be deemed a material breach of the Agreement, and Supplier will notify XXX immediately if it violates, or reasonably believes that it will violate, any terms of this provision. Supplier agrees that XXX may take any and all actions required to ensure full compliance with all Sanctions Laws without XXX incurring any liability.
供应商未能遵守本条款将被视为对本协议的实质性违约，供应商将立即通知客户，如果其违反或被合理认为将违反本条款的任何条款。供应商同意，客户可以采取任何和所有必要的行动以确保完全遵守所有制裁法律，而客户不承担任何责任。
