Saudi Aramco has signed a $11 billion lease and lease-back agreement with an international consortium led by Global Infrastructure Partners (GIP) for its natural gas processing facilities in Jafurah. This strategic move allows Saudi Aramco to secure significant liquidity while retaining operational control over these vital assets.

The deal involves the creation of Jafurah Midstream Gas Company (JMGC), in which the GIP-led consortium will acquire a 49% stake, with Saudi Aramco holding the remaining 51%. This structure ensures Saudi Aramco's continued exclusive rights to receive, process, and handle raw gas from the Jafurah field.

The Jafurah gas field is crucial for Saudi Aramco's objective to increase its natural gas production capacity by 60% by 2030. It serves as a key pillar in meeting the growing demand for clean energy domestically and internationally, and it is recognized for its importance in supplying essential raw materials for the petrochemical industry and energy for emerging sectors like AI data centers.

This transaction is part of Saudi Aramco's broader strategy to optimize its asset structure and unlock asset value, reinforcing Saudi Arabia's position as a critical global supplier of natural gas. It follows a similar $15.5 billion lease and lease-back agreement for natural gas pipelines with a consortium led by BlackRock in December 2021.

GIP牵头的国际投资财团将通过收购JMGC49%股份（阿美保留51%控股权），并向阿美支付110亿美元。由此，阿美既获得了巨额流动资金，又保留了运营控制权。

Jafurah气田是沙特最大的非伴生天然气项目，探明储量包括约229万亿标准立方英尺原气及750亿桶凝析油，是阿美计划到2030年将天然气产能较2021年提升60%目标的核心支柱，旨在满足国内外对清洁能源日益增长的需求。

沙特阿美总裁兼首席执行官阿明·纳赛尔（Amin H. Nasser）表示，Jafurah是阿美天然气扩张计划的基石，GIP牵头财团的参与证明了该项目的价值和吸引力。Jafurah气田为石化产业提供重要原料的同时，也为人工智能数据中心等新兴行业提供能源保障。

该交易吸引了来自亚洲及中东地区多家知名机构投资者参与，预计将在完成相关交割条件后尽快落地。

这并非阿美首次采用类似模式筹措资金。2021年12月，阿美便与贝莱德集团牵头的财团签署了一项价值155亿美元的租赁与回租协议。该协议将天然气管道网络的使用权租赁给阿美天然气管道公司，并由该公司回租给阿美。当时阿美同样持有天然气管道公司51%股份，其余股权由财团投资者持有。
